Overview

About this masterclass

A live question and answer session of about 77 minutes, held in French, in which Olivier from OFM Legal, a former business lawyer now working as a tax advisor, answers agency owners, managers and creators alongside Arthur from Fanbase Accelerator.

The discussion starts with the US LLC: why it is a pass-through entity, why it only removes tax when the owner lives in a country that does not tax worldwide income and the business has no effectively connected income (ECI) in the US, and why an LLC brings little for residents of France, Germany or Belgium. Olivier then covers tax residency (Dubai, Malta, Cyprus, Panama) and the trap of being still considered French, when expatriation is worth its cost, and Dubai corporate tax with a free zone company invoicing a US LLC.

The second half deals with day-to-day legal practice: why there are no truly OFM-friendly banks and how accounts get frozen, why money flows must be backed by contracts and invoices, why labelling transfers as gifts does not hold, your duty to check that a creator's company exists, minors, crypto gains in France, and why getting compliant matters more than optimising early.

Outcomes

What you will learn

  • Explain when a US LLC really means no tax: a pass-through entity, no ECI in the US, and an owner resident in a country that does not tax worldwide income
  • Understand why an LLC brings little tax advantage to residents of France, Germany or Belgium, and which European options exist (non-domiciled status in Malta or Cyprus)
  • Recognise the two sides of tax residency: meeting Dubai's criteria does not stop France from treating you as resident if your family, time or business stay there
  • Judge when expatriation or a tax structure is worth it, given that the cost of advisors, housing and setup can cancel the savings at lower income levels
  • Document every money flow with contracts and invoices between your companies, and know why wording such as gift on a transfer does not change what the payment is
  • Know your obligation as an agency to verify that a creator's company exists, and the risks of invoicing on false company details
  • Set realistic expectations on banking for OFM: physical US banks, online banks like Mercury, wallets, freezes and source-of-funds requests
